These Terms of Service ("Terms") form a binding agreement between you ("you", "User") and Openoffice Technologies, Inc., a Delaware corporation with its principal place of business in Denton County, Texas, doing business as syrcleHR("syrcleHR", "we", "us", or "our"). By creating an account, accessing, or using the syrcleHR website, applications, APIs, or related services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a school district, recruiting firm, or other organization, you represent that you have authority to bind that entity, and "you" refers to that entity.
1. The Service
syrcleHR operates a confidential marketplace for K-12 educators, school districts, and recruiting firms. Educators may publish blind profiles that exclude personally identifying information. Districts and authorized recruiters may search those blind profiles, request a handshake to view a candidate's identity, and communicate with candidates who consent to disclosure. We may modify or discontinue features at any time.
2. Accounts and Eligibility
- You must be at least 18 years old and legally able to enter contracts.
- You agree to provide accurate information and keep it current.
- You are responsible for safeguarding your credentials and for all activity under your account.
- District and recruiter accounts may only be used for legitimate hiring purposes on behalf of the organization named at sign-up.
3. The Handshake and Candidate Consent
Candidate identities are disclosed only with the candidate's affirmative consent through the in-product handshake. Districts and recruiters must not attempt to identify candidates by combining blind profile data with external sources, by social engineering, or by any other means that bypasses the handshake. Doing so is a material breach of these Terms.
4. Acceptable Use
You agree not to (a) reverse engineer, scrape, or systematically extract data from the Services; (b) use the Services to discriminate unlawfully, harass, or retaliate against any person; (c) misrepresent your identity, affiliation, or qualifications; (d) introduce malware or attempt to compromise the security of the Services; or (e) use the Services in violation of applicable law, including FERPA, the FCRA, and state equal-opportunity laws. 5. Subscriptions, Credits, and Payment
- District and recruiter plans are sold on a subscription basis with unlock credits and seat limits described in the order form or in-product pricing page.
- A non-refundable base implementation fee equal to 7.5% of the total contract value is charged with the first invoice of each new subscription term.
- Fees are invoiced in U.S. dollars and are exclusive of taxes. Late balances accrue interest at the lesser of 1.5% per month or the maximum rate allowed by law.
- Unused unlock credits do not roll over after a term ends unless your order form says otherwise. Subscriptions auto-renew unless either party gives written notice at least 30 days before the renewal date.
- Educators use syrcleHR free of charge. We may introduce optional paid features with advance notice.
6. Content and License
You retain ownership of the resumes, job postings, messages, and other content you submit ("Your Content"). You grant syrcleHR a worldwide, non-exclusive, royalty-free license to host, process, transform (including redaction and aggregation), display, and transmit Your Content solely to operate, secure, and improve the Services. We do not sell Your Content and we do not use it to train third-party foundation models.
7. Confidentiality
Each party agrees to protect the other's non-public information with the same degree of care it uses to protect its own confidential information, and not less than a reasonable degree of care. Candidate identities, contact details, and unlock history are confidential information of the candidate.
8. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYRCLEHR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT ANY CANDIDATE, DISTRICT, OR ROLE WILL BE A SUITABLE MATCH, AND WE ARE NOT A PARTY TO ANY EMPLOYMENT RELATIONSHIP THAT RESULTS FROM USE OF THE SERVICES.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYRCLEHR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SYRCLEHR IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS ($100).
10. Indemnification
You agree to defend, indemnify, and hold harmless syrcleHR, its affiliates, and their respective officers, directors, employees, and agents from any claim, loss, or expense (including reasonable attorneys' fees) arising out of (a) Your Content, (b) your use of the Services in violation of these Terms or applicable law, or (c) any employment decision you make based on information obtained through the Services.
11. Term and Termination
These Terms apply for as long as you use the Services. We may suspend or terminate your account at any time for material breach, non-payment, or to comply with law. On termination, your right to use the Services ends, and we will delete or anonymize your data in accordance with our Privacy Policy.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The parties agree that the exclusive venue for any dispute that is not subject to arbitration will be the state and federal courts located in Denton County, Texas. Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
Informal resolution
Before filing a claim, you agree to try to resolve the dispute informally by emailing legal@syrcleHR.com. If the dispute is not resolved within 60 days, either party may proceed under this Section 12.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email or in-product notice at least 14 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance.
